Our REIT attorneys are experienced in the planning and implementation of a variety of organizational and real estate ownership structures used for REIT formations and transactions. We understand the complex requirements of asset ownership and character of income that must be met to qualify for pass-through tax treatment under the Internal Revenue Code. Our team has extensive experience with IPOs, private placement of debt, securitization of debt, public/private preferred and common equity offerings, PIPE transactions, recapitalizations, trust preferred securities, asset purchase and dispositions, §1031 exchanges, and mergers and acquisitions. Our experience in capital raising (via public and private securities offerings), securitization, and structured finance transactions is just as deep.

Cohn & Gregory Supply Sale to Venturi Supply
A Winston team led by Matt Stockstill represented Cohn & Gregory Supply (Cohn & Gregory), a Texas-based distributor of pipes, valves, fittings, flanges (PVF), and other industrial products, in its sale to Venturi Supply (Venturi), an Arizona-based portfolio company of Trive Capital. Cohn & Gregory, founded in 1977, was a family-owned business that has built a legacy in Texas as a premier supplier of a wide variety of PVF products used in manufacturing, oilfield, food & beverage, biopharm, power, and other industries.

GenNx360 Capital Partners in its Acquisition of Shenandoah Industrial Solutions
Winston represented GenNx360 Capital Partners, a New York City-based private equity firm investing in middle market business-to-business industrial and business services companies, in connection with the acquisition of Shenandoah Industrial Solutions, a Florida-based company. Shenandoah is a provider of underground infrastructure services, including sanitary and stormwater pipe cleaning, inspection, and pipe rehabilitation services.

Paceline Equity Partners in Its US$50M Investment in Kelso Industries
Winston represented Paceline Equity Partners (Paceline), a Dallas-based private equity manager, in connection with its US$50M investment in Kelso Industries (Kelso), a Phoenix-based provider of installation and maintenance services for heating, ventilation, air conditioning, refrigeration (“HVACR”), and other mechanical building systems, including plumbing, as well as process piping systems. Paceline’s investment will be used by Kelso to fund the acquisitions of several complementary businesses.
