Fifth Circuit Strikes Down NASDAQ Board Diversity Rules
On December 11, 2024, in Alliance for Fair Board Recruitment v. SEC, the Fifth Circuit Court of Appeals (the Court) held that the Securities and Exchange Commission (the SEC) did not have the authority to approve The Nasdaq Stock Exchange’s (Nasdaq) board diversity rule (the Rule).

Yesterday, the Supreme Court handed down its decision in SEC v. Jarkesy, holding that the Seventh Amendment entitles defendants to a jury trial in an Article III court when the SEC seeks civil penalties for securities fraud. The decision was split 6-3, with Chief Justice John Roberts writing for the conservative majority. This decision is one of several this term sharply limiting the power of federal administrative agencies.

Supreme Court’s “Major Question Doctrine” Challenges Administrative Agencies
The Supreme Court has long been skeptical of novel proposals by federal agencies to address issues of vast economic and political significance. And this week, in West Virginia v. EPA, the Court made clear that its past cases reviewing novel applications and interpretations of agency powers do constitute an identifiable “doctrine” for application by courts going forward. When an administrative agency makes a “major policy decision,” it must have “clear congressional authorization” to do so. This case may represent one of the Supreme Court’s most significant administrative law decisions since NRDC v. Chevron in 1984.
