Acquisition of Glendale Senior Dining, Inc.
Winston represented Whitsons Culinary Group, a portfolio company of GenNx360 providing customized dining services, in its acquisition of Glendale Senior Dining, Inc., a provider of contract food management services to senior living and long-term care communities throughout Massachusetts, New Hampshire, Connecticut, Rhode Island, Vermont and Maine. The acquisition of Glendale Senior Dining allows Whitsons Culinary Group to expand its services to encompass senior living and long-term care communities in the highly strategic New England region.

Mezzanine Loan of up to US$218M
Winston & Strawn represented NREF OP IV REIT Sub, LLC (an affiliate of NexPoint Advisors, L.P), as lender and administrative agent, in making a mezzanine loan of up to US$218M to IQHQ-Alewife Holdings, LLC, as borrower, in connection with and for the construction and development of certain properties in Massachusetts, which loan is secured by a mortgage and equity pledges of direct and indirect ownership interests in the property owner.

NuVasive's Claims Dismissed: Alphatec Spine Wins Jury Verdict
NuVasive sued Winston client Alphatec Spine—a competing spine surgery device company—for tortiously interfering with NuVasive’s business relationships with its exclusive distributors and sales representatives. We secured an early advantage pre-trial when the court ruled that California law applied to NuVasive’s claims, even though the distributors and sales representatives worked in North Carolina, Florida, and Massachusetts. Because noncompete agreements are not enforceable under California law, NuVasive was prevented from basing its interference claims on interference with its unenforceable sales representative noncompete agreements. As a result, the issues at trial focused on whether Alphatec interfered with NuVasive’s fixed-term exclusive distributorship agreements. After several days of argument on pretrial motions, trial began on November 27, 2023, and concluded on January 18, 2024, when Winston won a very favorable jury verdict against plaintiff’s claims.

Oregon Enacts SB 951, Restricting PE-Backed MSOs in Physician Practice Transactions
On June 9, 2025, Oregon enacted Senate Bill 951 (SB 951), a sweeping new law significantly limiting how management services organizations (MSOs)—including those backed by private-equity firms—may engage with physician practices. The legislation targets traditional “friendly provider” models by restricting ownership and operational control of professional medical entities and voiding restrictive covenants. Investors must now reassess Oregon-based physician practice investments to ensure compliance by 2026 (for new MSOs) and 2029 (for existing ones). It’s noteworthy that this law will coexist with Oregon’s complicated health care transactions notice law, a law that requires a thorough review of certain health care transactions.
