Winston Represents Initial Purchasers in GABX Leasing’s $1 Billion Inaugural Senior Notes Offering
Winston & Strawn LLP represented the initial purchasers, BofA Securities, Inc., MUFG Securities Americas Inc., SMBC Nikko Securities America, Inc., and Wells Fargo Securities, LLC, in connection with GABX Leasing LLC’s inaugural $1 billion Rule 144A offering of senior notes, with GATX Corporation as guarantor. The offering consisted of $500 million of 4.625% Senior Notes due 2031 and $500 million of 5.300% Senior Notes due 2036. GABX Leasing LLC is a joint venture between GATX Corporation and Brookfield Infrastructure Partners L.P. and its institutional partners, formed in connection with the approximately $4.2 billion acquisition of a portfolio of approximately 101,000 railcars from Wells Fargo. This financing represents a key component of the joint venture’s capital structure and supports the continued expansion of one of the largest railcar leasing platforms in North America. This transaction underscores Winston’s market leading capital markets practice and its continued role advising global financial institutions on complex, large scale financings, particularly those supporting critical infrastructure and transportation assets.

MLBPI’s Licensing Fight Ends in Victory and Settlement with DraftKings
Winston is representing MLB Players Inc. (MLBPI), which serves as the exclusive group licensing representative for all MLB (major league baseball) players. MLBPI sued several online sportsbook and mobile-betting platforms, including DraftKings, over their use of hundreds of MLB player images and likenesses without MLBPI’s consent.

Business Combination and Secured Financing of Keo World and Maha Capital AB
Served as legal counsel to KEO World, Inc., a Miami-based fintech platform specializing in embedded credit and B2B digital payments, in connection with its business combination with Maha Capital AB, a publicly listed investment company on Nasdaq Stockholm. The transaction, which closed on April 2, 2026, was structured as a reverse triangular merger through which KEO World became a wholly owned subsidiary of Maha, with KEO World's parent entity receiving approximately 141 million newly issued Maha shares and nearly 49.2 million earn-out warrants as consideration. In connection with the closing, Maha also executed two directed capital raises totaling USD 27 million at SEK 16 per share and announced a planned third raise of USD 8 million ahead of a contemplated dual listing on a U.S. national securities exchange. Based on publicly available disclosures, the combined transaction has been valued at approximately USD 680 million.

Amelia Garza-Mattia Discusses Supreme Court VPPA Case with Law360
Winston & Strawn's Amelia Garza-Mattia was quoted in a Law360 article discussing a closely watched U.S. Supreme Court case addressing the scope of the Video Privacy Protection Act (VPPA). The case follows the Sixth Circuit dismissal of a proposed class action brought by a Paramount Global newsletter subscriber who alleges that the company unlawfully shared users’ personal information with Facebook. After the Sixth Circuit found that the plaintiff was not a “consumer” under the VPPA because he did not subscribe to audiovisual content, the Supreme Court agreed to review the decision.

SEC Grants Exemptive Relief for Shortened Equity Tender Offers
On April 16, 2026, the Securities and Exchange Commission’s (the SEC) Office of Mergers and Acquisitions in the Division of Corporation Finance (the Division) issued an exemptive order (the Order) permitting certain tender offers for equity securities to remain open for a minimum of 10 business days rather than the standard 20 business days, subject to strict conditions designed to preserve investor protections.

What Is Tracking and Monitoring Law?
Tracking and monitoring law is related to the rights of individuals and often addressed through state legislation. Tracking law looks at when and how individuals can be tracked through GPS devices and location services. Employers have the right to track company vehicles through GPS devices but cannot track an employee’s vehicle in many states without employee consent. (A written policy on tracking and monitoring may be required, with the policies stating a business purpose for the activities.) Tracking apps on mobile phones can continue to broadcast an employee’s location even after work hours. That is why companies must ensure they are satisfying employees’ expectations of privacy.

A privacy audit, also known as a privacy compliance audit, is an assessment tool that looks at an organization’s privacy protection policies and procedures, specifically in light of current relevant laws or regulatory requirements. The audits may be conducted by private organizations or by government agencies that are verifying a company’s regulatory compliance. In terms of privacy audit law, the FTC can conduct audits of organizations and take action when a company is improperly securing private information. Action is taken under the FTC Act, which covers unfair trade practices. Health Insurance Portability and Accountability Act audits are also conducted to ensure that providers are following HIPAA law and protecting private health information.
