Winston advised Ellipsis U.S. Onshore Holdings LLC, a portfolio company of the Westlawn Group, in connection with the acquisition of high-quality, non-operated working interests in the Permian Basin of Texas and New Mexico—adding approximately 4,000 barrels of oil equivalent per day in net production and over 600 gross remaining drilling locations. This strategic transaction strengthens Ellipsis’ Delaware Basin footprint and supports its strategy of scaling through high-margin, low-cost assets.

Winston Secures Federal Circuit Victory for Snap Axing Image-Presentation Patents on the Pleadings
Ask Sydney sued Snap along with four large tech companies in the Western District of Texas, Waco Division, asserting infringement of two related patents on methods of generating and presenting images to a user to determine the user’s interest. Working closely with Snap, Winston successfully moved to transfer the case to the Central District of California, then moved for judgment on the pleadings of patent-ineligibility under § 101 of the Patent Act. Following a hearing with multiple rounds of argument, the district court granted the motion, adopting Winston’s arguments that distinguished findings by the patent examiner during prosecution and by the Western District of Texas, which had denied § 101 motions brought by two other defendants. Ask Sydney appealed, but the Federal Circuit summarily affirmed three days after oral argument, handing Snap a decisive win invalidating all claims of both asserted patents. Eimeric Reig led the strategy and argued the appeal and motion hearing, working with Kathi Vidal and Kelly Hunsaker.

After an eleven-day bench trial in January 2023, the N.D. Ill. delivered a full defense verdict in March 2025 in an ERISA class action brought by participants in Segerdahl Corporation’s ESOP. The court rejected the class claims against Segerdahl, its ESOP trustee GreatBanc Trust Company, and various individual defendants including board members Bob Cronin, Rod Goldstein, and Peter Mason, alleging that Segerdahl could have sold for a significantly higher price, which would have increased post-sale distributions to the ESOP participants. Winston earned an Am Law Litigator of the Week Shout Out for this win.

New York FAIR Business Practices Act Bolsters State’s Consumer Protection Framework
Not quite a year after the Consumer Financial Protection Bureau (CFPB) issued its January 2025 report urging states to strengthen state-level consumer protections, New York enacted the Fostering Affordability and Integrity through Reasonable (FAIR) Business Practices Act into law. The FAIR Act amends New York’s general business law to prohibit unfair and abusive business acts and practices beyond deceptive conduct.

What Is the Better Business Bureau (BBB)?
The Better Business Bureau (BBB) is a private organization that provides the public with information on businesses and charities. It also handles consumer complaints about firms. The nonprofit bureau has developed a rating system for businesses based on a scale of A+ to F. Each rating is determined according to specific criteria relating to a company’s ethics and performance. The BBB offers guidance to companies on proper practices. Firms that follow these policies and pay annual dues can become accredited through the bureau. To obtain accreditation, a business must be operate with transparency, be appropriately licensed, adhere to BBB advertising codes, and have no unresolved consumer complaints.

What Is the Bureau of Ocean Energy Management (BOEM)?
The Bureau of Ocean Energy Management (BOEM) is the U.S. Government agency that leases offshore areas on the U.S. Outer Continental Shelf (OCS) for energy development, including offshore renewable energy such as offshore wind. The organization’s goal is to responsibly manage OCS energy and resources in the interest of energy independence, environmental sustainability, economic development, and national security. BOEM utilizes the expertise of scientists and technical professionals who share information and research that contributes to the bureau’s decision making. The bureau is part of the U.S. Department of Interior. BOEM’s sister agency—the Bureau of Safety and Environmental Enforcement or BSEE—enforces offshore safety, environmental and other requirements in tandem with BOEM issued leases and works closely with the U.S. Coast Guard and other federal and state agencies. BOEM has reported that OCS production accounts for approximately 18 percent of the nation’s crude oil supply and 4 percent of the domestic natural gas supply. BOEM is currently engaged in an extensive offshore wind leasing program with a number of leases already existing for wind farms off the U.S. East Coast.
