Winston advised Ellipsis U.S. Onshore Holdings LLC, a portfolio company of the Westlawn Group, in connection with the acquisition of high-quality, non-operated working interests in the Permian Basin of Texas and New Mexico—adding approximately 4,000 barrels of oil equivalent per day in net production and over 600 gross remaining drilling locations. This strategic transaction strengthens Ellipsis’ Delaware Basin footprint and supports its strategy of scaling through high-margin, low-cost assets.

OCC Releases Preliminary Findings from Debanking Investigation
As Winston & Strawn has detailed in earlier articles and alerts, the Trump administration has prioritized addressing “politicized or unlawful debanking” (i.e., when financial institutions close or refuse to open customer accounts based on a customer’s political affiliation, religion, or involvement in legal but politically disfavored industries), using executive orders, agency bulletins, and internal investigative probes to tackle the subject. The administration’s actions are starting to produce measurable results.

On November 18, 2025, the Ninth Circuit Court of Appeals ruled to temporarily stay implementation of California SB 261, the state’s corporate climate-related financial risk reporting law, while an appeal is pending related to an industry group-led challenge to the law. In the short ruling, the Ninth Circuit denied the motion to stay implementation of the companion bill, the Climate Corporate Data Accountability Act.

Offshore wind or OSW is a term that refers to the generation of energy using wind turbines installed over bodies of water. Unlike onshore wind farms, offshore farms typically provide higher energy production because much larger turbines can be installed offshore than on land due to stronger and more consistent winds in marine environments. The energy created by offshore wind power is a renewable energy source and produces no greenhouse gas emissions, so it is considered an important component in the transition to net-zero emissions. Offshore wind projects are regulated at both the state and federal level including environmental regulations, safety standards, and permitting and licensing requirements. The Jones Act, which regulates maritime commerce in the United States, plays a critical role in how offshore wind projects are planned and constructed in U.S. waters.
