Florida CHOICE Act Allows for Easier Enforcement of Noncompete and Garden Leave Agreements

Many states have recently passed legislation making it more difficult for employers to enforce restrictive covenants against their departing employees. On April 24, 2025, the Florida legislature bucked this trend by passing the Florida Contracts Honoring Opportunity, Investment, Confidentiality, and Economic Growth (CHOICE) Act, which allows for easier enforcement of covered garden leave and noncompete agreements and extends the maximum enforceable period for such agreements to four years. One Big Beautiful Bill Becomes Law

On Friday, July 4, 2025, President Trump signed into law the One Big Beautiful Bill Act, making permanent many of the tax provisions enacted under the 2017 Tax Cuts and Jobs Act (TCJA). An initial draft of the legislation was passed by the U.S. House of Representatives on May 22, 2025 (the Original House Bill). Winston & Strawn’s prior alert regarding key provisions of the Original House Bill can be found here. A revised version of the Original House Bill (the Final Bill) was passed by the U.S. Senate on July 1, 2025, and after overcoming opposition from certain members of the Republican Party, the House voted on July 3, 2025, along party lines, to send the Final Bill to President Trump for signature.

What Are Flash Loans?

Flash loans are a subset of smart contracts where uncollateralized loans are made to a buyer and re-paid in the same series of transactions. Flash loans represent essentially risk-free arbitrage opportunities; for example, if a cryptocurrency is being traded for $1 on one exchange and for $2 on another, a savvy trader can use smart contracts to take out a flash loan of $100 worth of the cryptocurrency on the first exchange, sell it for $200 on the second exchange, repay the loan, and pocket the extra $100 as profit as part of a single instantaneous transaction. Flash loans are usually risk-free for lenders as well; if there is no contract executed to return the amount loaned, the initial loan will never be made....Read more
