Winston represents a class of professional swimmers alleging World Aquatics (WA) violated antitrust laws by blocking their participation in the competing International Swimming League. After WA won summary judgment, Winston successfully appealed, arguing the court applied improper antitrust standards and wrongly denied certification of a damages class. In September 2024, the Ninth Circuit reversed both rulings, reviving all claims and issuing a landmark ruling on the possible application of the per se rule or quick look review to sports-associations rules. Am Law awarded Winston “Litigator of the Week” Runner-Up recognition for the win. In November 2024, the Ninth Circuit denied rehearing. In April 2025, the district court certified a damages class.

$250 Million Atlantic City Electric Company Private Placement of First Mortgage Bonds
Represented a group of institutional investors in connection with the issuance by Atlantic City Electric Company of $100 million of its First Mortgage Bonds, 5.28% Series due March 26, 2035, $75 million of its First Mortgage Bonds, 5.54% Series due November 19, 2040, and $75 million of its First Mortgage Bonds, 5.81% Series due November 19, 2055. Huntington Securities, Inc., Mizuho Securities USA LLC and Scotia Capital (USA) Inc. served as placement agents for the offering.

RF Acquisition Corp. Closes Business Combination with GCL Asia to Go Public
Winston & Strawn represented RF Acquisition Corp., a publicly traded special purpose acquisition company, in its business combination with Grand Centrex Limited, one of Asia's leading video game distributors and publishers. The combined company, GCL, is now listed on Nasdaq under the reserved ticker symbol "GCL.” The transaction gives GCL approximately $1.2 billion in pre-transaction equity value. GCL's existing shareholders will roll over 100% of the equity and retain a majority of the Combined Company's outstanding shares, while GCL also designated a majority of the Combined Company's board of directors. The transaction includes a minimum cash condition of $25,000,000 and resulted in GCL receiving gross proceeds of approximately $42.9 million (assuming no further redemptions by RF Acquisition shareholders). RF Acquisition and GCL have agreed to work together to pursue commitments for a private placement of equity, debt, or other alternative financings of up to $20 million. GCL expects to use proceeds from the transaction to accelerate its game publishing and IP management business, alongside its marketing reach with AAA/AA PC game titles.

Flash loans are a subset of smart contracts where uncollateralized loans are made to a buyer and re-paid in the same series of transactions. Flash loans represent essentially risk-free arbitrage opportunities; for example, if a cryptocurrency is being traded for $1 on one exchange and for $2 on another, a savvy trader can use smart contracts to take out a flash loan of $100 worth of the cryptocurrency on the first exchange, sell it for $200 on the second exchange, repay the loan, and pocket the extra $100 as profit as part of a single instantaneous transaction. Flash loans are usually risk-free for lenders as well; if there is no contract executed to return the amount loaned, the initial loan will never be made.
