The transaction, structured as a merger agreement, will result in the formation of Greenland Energy Company, expected to be publicly listed on NASDAQ under the ticker symbol “GLND.” Winston advised Greenland Exploration on all aspects of the deal, including regulatory strategy, corporate structuring, and negotiation of the merger terms.

Voyager Acquisition Corp. and VERAXA Biotech Announce Business Combination
Winston & Strawn represented Voyager Acquisition Corp. in its announced business combination agreement with VERAXA Biotech AG, a biopharmaceutical company developing next-generation antibody-based cancer therapies. The combination will result in VERAXA becoming a publicly traded company on Nasdaq under the ticker symbol “VERX”, with a pre-money equity valuation of $1.3 billion and up to $253 million in cash held in trust by Voyager. The transaction is expected to close in the fourth quarter of 2025, subject to regulatory and shareholder approvals.

Brett Johnson Discusses Federal Circuit’s PTAB Review Decisions with Law360
Winston & Strawn partner Brett Johnson was quoted in a Law360 article examining the U.S. Court of Appeals for the Federal Circuit’s recent decisions declining to review the U.S. Patent and Trademark Office director’s discretionary denials of inter partes review (IPR) and post-grant review (PGR) petitions. Companies have filed constitutional arguments at the Federal Circuit challenging the high and evolving threshold for having an inter partes or post-grant review instituted, which has led to an unprecedented level of denied petitions. The companies had hoped to fit into a narrow exception to the America Invents Act that allows appeals for unconstitutional “shenanigans,” but the Federal Circuit has rejected all of the mandamus petitions since November.

What Is the Federal Trade Commission (FTC)?
The Federal Trade Commission (FTC) is a government agency established in 1914 to prevent anticompetitive, deceptive, or unfair business practices. The FTC is defined as having a dual mission of: (1) protecting consumers; and (2) promoting competition. Agency expertise and resources are available to federal and state legislatures, as well as other U.S. government agencies. The FTC enforces consumer protection and antitrust laws, and also works to advance consumers’ interests and provide educational programs.

“Baby HSR” or “mini HSR” laws refer to state-level premerger notification and reporting requirements that resemble the federal Hart-Scott-Rodino Act but tend to apply to smaller transactions valued below the federal notification thresholds. These laws, often focused on specific industries like healthcare, aim to enhance state-level antitrust oversight by requiring companies to notify state authorities of mergers or acquisitions that could impact local competition. Filing obligations, timing, and fees vary by state, with some requiring detailed disclosures about the transaction’s competitive impact within the state. State authorities can investigate, challenge, or impose conditions on transactions even if they are cleared federally. Winston’s Baby HSR survey provides buyers and sellers with a resource to quickly start assessing which states may have premerger notification requirements that impact their transactions.
