$2.75 Billion Constellation Energy Generation, LLC Public Offering of Senior Notes
Winston served as underwriters' counsel to BofA Securities, Citigroup, Goldman Sachs & Co. LLC, Morgan Stanley and Scotiabank, as joint book-running managers, in connection with the registered public offering of $2.75 billion of Senior Notes by Constellation Energy Generation, LLC comprised of (i) $300 million of its Floating Rate Senior Notes due 2028; (ii) $900 million of its 3.900% Senior Notes due 2028, (ii) $750 million of its 4.400% Senior Notes due 2031, and (iv) $800 million of its 5.875% Senior Notes due 2066.

Winston Takes the Checkered Flag After “Massive Win” Settlement
Winston squared off in the W.D.N.C. against lawyers for NASCAR in an antitrust lawsuit brought on behalf of racing teams Front Row Motorsports Inc. and 23X1 Racing LLC—the team co-owned by Michael Jordan and driver Denny Hamlin—alleging monopolization of the market for premier stock car racing teams. On December 11, 2025, nine days into trial and the morning after the plaintiffs rested their case, the parties jointly announced a settlement. Jeffrey Kessler, Jeanifer Parsigian, and Danielle Williams were recognized by American Lawyer with its top “Litigator of the Week” honors on December 19, 2025, for this historic settlement.

Winston & Strawn LLP represents Blockfusion, the owner-operator of a strategically located, clean-energy-powered data center, in its announced business combination with Blue Acquisition Corp., a publicly traded special purpose acquisition company. The transaction attributes a pre-money equity value of approximately USD 450 million to Blockfusion and would result in Blockfusion becoming a publicly traded company upon listing.

What Is the Bureau of Ocean Energy Management (BOEM)?
The Bureau of Ocean Energy Management (BOEM) is the U.S. Government agency that leases offshore areas on the U.S. Outer Continental Shelf (OCS) for energy development, including offshore renewable energy such as offshore wind. The organization’s goal is to responsibly manage OCS energy and resources in the interest of energy independence, environmental sustainability, economic development, and national security. BOEM utilizes the expertise of scientists and technical professionals who share information and research that contributes to the bureau’s decision making. The bureau is part of the U.S. Department of Interior. BOEM’s sister agency—the Bureau of Safety and Environmental Enforcement or BSEE—enforces offshore safety, environmental and other requirements in tandem with BOEM issued leases and works closely with the U.S. Coast Guard and other federal and state agencies. BOEM has reported that OCS production accounts for approximately 18 percent of the nation’s crude oil supply and 4 percent of the domestic natural gas supply. BOEM is currently engaged in an extensive offshore wind leasing program with a number of leases already existing for wind farms off the U.S. East Coast.

What Is Advertising Litigation?
Advertising litigation is defined as the legal area that covers false or deceptive advertising cases. Lawsuits may be brought by government agencies or corporate competitors based on the Lanham Act—a law that specifically deals with false advertising. The Act outlines how an advertisement can be deemed false. The Federal Trade Commission (FTC) has the ability to file lawsuits to halt deceptive advertising claims. The U.S. Food and Drug Administration may also pursue advertising litigation against violators of government regulations. Companies may be called on to substantiate their advertising claims, whether these are made in print or online.
