Winston advises Ardian on its acquisition of a majority stake in Alstef Group
Winston has advised Ardian, a leading global private investment firm, in connection with its exclusive negotiations to acquire a majority stake in Alstef Group, a provider of automated and robotic solutions for the airport, logistics, and parcel sorting markets, alongside the Group's management team and employee shareholders. As part of this transaction, the founders (Pierre Marol and Jean-Luc Thomé) and Future French Champions, the joint venture between Qatar Investment Authority (QIA) and Bpifrance, will also reinvest alongside Ardian.

RCG Global Services' Majority Recapitalization with Frontenac
Winston & Strawn LLP RCG Global Services (the Company), a global digital transformation consultancy providing product engineering, advanced analytics, and cloud services to Fortune 1000 enterprises, has completed a majority recapitalization with Frontenac, a Chicago-based private equity firm. RCG was previously majority owned by Eos Partners, L.P., a New York-based private investment firm. Financial terms of the transaction were not disclosed. RCG combines digital strategy consulting with modern engineering expertise to build innovative, digital solutions for complex business initiatives at blue-chip enterprises in the financial and insurance services, consumer services, and healthcare verticals. The Company's global presence includes six offices throughout the United States as well as development centers in the Philippines and India.

Winston & Strawn LLP represented Oppenheimer & Co. Inc. as placement agent counsel in the PIPE offering in connection with Rodgers Silicon Valley Acquisition Corp. (Nasdaq: RSVA, RSVAU, RSVAW) (“RSVAC”), a publicly traded special purpose acquisition company, business combination with Enovix Corp., the leader in the design and manufacture of 3D Silicon™ Lithium-ion batteries. The transaction resulted in approximately US$405M of gross cash proceeds, before deducting placement agent commissions and other offering related expenses. This will allow Enovix to build out its first two production facilities to support demand from blue chip customers in the global mobile computing market while continuing to develop cells for electric vehicles.
