Digital Virgo Business Combination with Goal Acquisitions Corp.
Winston & Strawn LLP is representing Digital Virgo Group— a French corporation with a leading global platform for payment and monetization of digital content and services for entertainment, sports, lifestyle, and ultimately, transportation, education, and everyday needs—in its business combination with Goal Acquisitions Corp. (Nasdaq: PUCK), a publicly traded special purpose acquisition company. Upon closing, Goal will be renamed "Digital Virgo Group, Inc.," and its common stock is expected to be publicly listed in the United States. The proposed business combination is expected to provide at least US$100M in cash to Digital Virgo, allowing the company to enhance growth and expand into North America and other priority markets. Based on a US$10 per share price, the transaction values Digital Virgo at an enterprise value of approximately US$513M. The transaction was unanimously approved by the Digital Virgo Strategic Committee and the Goal Board of Directors. It is expected to close in the first quarter of 2023, subject to the satisfaction of customary closing conditions including Goal shareholder approval, approval for listing on NASDAQ, European electronic money institution approvals, a minimum of US$20M in cash being available at closing, and the execution of definitive agreements for a US$100M committed capital on demand facility. Digital Virgo has been consistently profitable for the last seven years. The company has a proven track record of success in all economic environments, with revenue and adjusted EBITDA expected to grow from 2021–2022E 12% and 15%, respectively. Building on its more than 2B connected users and 9B yearly transactions managed worldwide, Digital Virgo today operates in 40+ countries with offices in 28 countries. Digital Virgo will pursue its significant expansion opportunity in the United States among customers who prefer the one-platform approach as well as the simplicity of Digital Virgo’s direct carrier billing (DCB), in addition to unbanked or underbanked customers who are too often left behind.

Triple-S Tube Supply Acquires Real Property and Improvements in Private Bankruptcy Sale
Winston & Strawn LLP represented Triple-S Tube Supply, LP in the purchase of two parcels of real property and improvements located in Conroe and Houston, Texas in the Energy Alloys, LLC chapter 11 bankruptcy case. Energy Alloys had already significantly finalized its purchase agreement for these properties with another buyer and had sought expedited bankruptcy court approval of this private sale. In approximately a week, Winston & Strawn M&A/real estate and bankruptcy attorneys worked with our client to formulate a higher and better bid, revise the purchase agreement and ancillary documents, and negotiate a revised sale order. Energy Alloys decided to pivot to our client as the buyer. Accordingly, our attorneys further worked with Energy Alloys to successfully resolve objections brought by the U.S. Trustee, and certain county agencies and governments. On November 23, 2020, the Bankruptcy Court, with the support of the creditors’ committee, approved the private sale of the real property to our client.

Eric Johnson Discusses Potential Shift to Semiannual Reporting with Fortune
Winston & Strawn partner Eric Johnson was quoted in a recent Fortune article examining a potential proposal by the U.S. Securities and Exchange Commission (SEC) that could significantly change how public companies report their financial results. According to reports, the SEC is considering a measure, which could be released as soon as April, that would allow U.S. public companies to report financial results semiannually rather than quarterly, making quarterly filings optional instead of mandatory.

Senate Finance Committee Chairman Mike Crapo (R‑ID) and Ranking Member Ron Wyden (D‑OR) released a bipartisan draft of the Taxpayer Assistance and Service Act (“Act” or “TAS Act”) on February 26, 2026, aimed at improving IRS procedure and administration. The bill, comprised of legislative proposals recommended by the National Taxpayer Advocate (NTA) and standalone tax bills measures previously introduced by congressional members, proposes some of the most substantial enhancements to taxpayer judicial protections in years, while additionally seeking to streamline processes and communications for tax compliance.

What Is the Personal Information Protection Law (PIPL)?
The Personal Information Protection Law (PIPL) is a law passed by China’s National People’s Congress Standing Committee, which aims to establish a personal information protection system with Chinese features that are also in line with international standards. PIPL provides a variety of rights for personal information subjects to strengthen their control of personal information, while imposing strict obligations to personal information handlers. The law entered into effect on November 1, 2021.
