Business Combination and Secured Financing of Keo World and Maha Capital AB
Served as legal counsel to KEO World, Inc., a Miami-based fintech platform specializing in embedded credit and B2B digital payments, in connection with its business combination with Maha Capital AB, a publicly listed investment company on Nasdaq Stockholm. The transaction, which closed on April 2, 2026, was structured as a reverse triangular merger through which KEO World became a wholly owned subsidiary of Maha, with KEO World's parent entity receiving approximately 141 million newly issued Maha shares and nearly 49.2 million earn-out warrants as consideration. In connection with the closing, Maha also executed two directed capital raises totaling USD 27 million at SEK 16 per share and announced a planned third raise of USD 8 million ahead of a contemplated dual listing on a U.S. national securities exchange. Based on publicly available disclosures, the combined transaction has been valued at approximately USD 680 million.

Brett Johnson Discusses Federal Circuit’s PTAB Review Decisions with Law360
Winston & Strawn partner Brett Johnson was quoted in a Law360 article examining the U.S. Court of Appeals for the Federal Circuit’s recent decisions declining to review the U.S. Patent and Trademark Office director’s discretionary denials of inter partes review (IPR) and post-grant review (PGR) petitions. Companies have filed constitutional arguments at the Federal Circuit challenging the high and evolving threshold for having an inter partes or post-grant review instituted, which has led to an unprecedented level of denied petitions. The companies had hoped to fit into a narrow exception to the America Invents Act that allows appeals for unconstitutional “shenanigans,” but the Federal Circuit has rejected all of the mandamus petitions since November.

These laws, often focused on specific industries like healthcare, aim to enhance state-level antitrust oversight by requiring companies to notify state authorities of mergers or acquisitions that could impact local competition. Filing obligations, timing, and fees vary by state, with some requiring detailed disclosures about the transaction’s competitive impact within the state. State authorities can investigate, challenge, or impose conditions on transactions even if they are cleared federally. What Is Internet of Things (IoT) Law?
The Internet of Things (IoT) area of the law relates to internet-connected devices, from smartphones to thermostats, which may collect user data and conduct analytics. In 2015, the Federal Trade Commission (FTC) issued guidelines on best practices and recommendations for companies providing home, wearable, and other personal connected devices. The FTC has recommended industry self-regulation as well as minimal collection and retention of consumer data in relation to IoT devices. The Commission also encourages companies to offer consumers data usage options and data sharing notifications.
