Justice focuses his practice on mergers and acquisitions and private equity transactions. He represents private companies as well as private equity sponsors and their portfolio companies in complex domestic and cross-border transactions. Justice has experience drafting and negotiating a wide range of transactional documents and advising clients on corporate governance and regulatory matters.

With a strong background in financial services and regulatory enforcement, Justice previously interned with the U.S. Securities and Exchange Commission and served as a student attorney in FINRA arbitration proceedings.

  • Represented Verizon Communications in its $20 billion acquisition of Frontier Communications Parent.

  • Represented Cohen Private Ventures in its sale of two minor league baseball teams, Syracuse Mets and Brooklyn Cyclones, to Diamond Baseball Holdings, an owner and operator of select minor league clubs affiliated with Major League Baseball.

  • Represented Morgan Stanley Capital Partners in its sale of World 50 to a single asset GP-led continuation fund investment vehicle.

  • Represented White Cap, a Clayton, Dubilier & Rice portfolio company, in its add-on acquisition of Dayton Superior Corporation.

  • Represented Five Arrows in its acquisition of a majority stake in N2Y, an education solutions platform.

  • Represented Kelso & Company and its portfolio company, BradyIFS, in the merger of BradyIFS and Envoy Solutions, including a new strategic and financial partnership with Warburg Pincus LLC.

  • Advised Steven Cohen, Cohen Private Ventures, and the New York Mets on general corporate matters.

Education

Justice earned his J.D. from Howard University School of Law in 2021, where he served as a Senior Articles Editor of the Howard Law Journal and held leadership roles in the Black Law Students Association at the local and regional level. He received his B.A., cum laude, in Philosophy and Business Administration from Howard University in 2017 and studied abroad at Universitát Autonoma de Barcelona.
