Yuka Minoda is a Japanese Foreign Legal Advisor in the firm’s New York office with experience in various fields, including mergers and acquisitions, corporate law, consumer law, and labor law.

Yuka is a corporate and M&A lawyer, admitted to practice in Japan in December 2018. She has experience advising both domestic and international clients on a range of M&A transactions, including share assignments, business transfers, company splits, and share-for-share exchanges. She also assists clients with various corporate matters, drafting and reviewing commercial contracts in both English and Japanese.

Yuka has worked on consumer law matters as well, supporting several well-known companies in Japan across different industries. For instance, she helped one of Japan’s biggest e-payment service providers launch new campaigns by reviewing advertisements, drafting terms and conditions, and ensuring compliance with Japanese consumer laws.

In addition, Yuka has advised clients on labor law matters. She has assisted Japanese subsidiaries of multinational companies with labor issues such as dismissals and disciplinary actions, from the perspective of Japanese labor laws.

  • Assisted a Japanese listed taxi company with its share-for-share exchange transaction to wholly acquire a gas station operator company in order to expand its business.

  • Assisted a U.S. health tech company to successfully establish a Japanese subsidiary company.

  • Supported a major listed railway company in Japan to initiate its new platform service. The support included ensuring the compliance of the new platform service with Japanese consumer laws, such as the Specified Commercial Transaction Law, the Act against Unjustifiable Premiums and Misleading Representations, etc.
  • Reviewed the advertising materials for a major Japanese telecommunications carrier from the perspective of Japanese consumer laws.
Investigation cases
  • Joined a third-party committee to investigate charges of inappropriate accounting at a Japanese listed company, which specialized in research, development and sales of display devices such as smartphones, related products, and their parts.
  • Participated as a member of a special investigation committee by a third party to investigate an alleged inappropriate inspection work, cited by the Ministry of Land, Infrastructure, Transport and Tourism of Japan, which was committed by a Japanese listed company that manufacturers aircraft interiors, aircraft seats and other aircraft instruments.

Credentials

Education

Yuka received a Master of Laws (LL.M.) degree from New York University School of Law in May 2024, a Juris Doctor (J.D.) degree from the University of Tokyo School of Law in March 2017, and a Bachelor of Laws (LL.B.) degree from Keio University in March 2015. She earned a Legal Apprenticeship certificate from The Legal Training and Research Institute of the Supreme Court of Japan in December 2018.
