Taylor Kim focuses his practice on securities and corporate law, including securities offerings, SEC compliance and disclosure, corporate governance and other general corporate matters. He represents issuers, underwriters, and financial institutions in a broad range of capital markets transactions, as well as public companies in a variety of securities and corporate governance matters. 

Taylor represents issuers, underwriters and financial institutions in various securities offerings, including IPOs, follow-on offerings, private placements and at-the-market programs. He also advises public companies on SEC disclosure and compliance matters, including periodic reporting obligations, proxy solicitations and beneficial ownership disclosures under Sections 13 and 16, as well as on corporate governance, investor relations and exchange listing requirements.

  • Represented a variety of public companies on a wide-range of securities and corporate governance matters, including Nucor Corporation, ScanSource, MSC Industrial, Sonic Automotive and Chord Energy. 

  • Represented various issuers and underwriters / initial purchasers in over $7 billion of public and private securities offerings in the energy sector.
  • Represented a public company in a $6 billion merger.

Education

Taylor earned his J.D. from Vanderbilt Law School, where he was named to the Dean’s List, recognized as a Chancellor’s Law Scholar, and served as Articles Editor for the Environmental Law and Policy Annual Review. He received his B.S. in Accounting and Business Administration from the University of Southern California and is admitted to the State Bar of Texas.
