Susumu's practice focuses on cross-border M&A and Project Finance primarily in the energy and construction sectors. His experience includes deals involving thermal power, renewable energy, nuclear energy, oil and gas, shipbuilding, and infrastructure. In this space, Susumu leverages his experience as in-house counsel at a global conglomerate infrastructure company.

 

In his corporate and transactional practice, Susumu regularly acts as counsel to both buyers and sellers in domestic and international mergers and acquisitions. In this capacity, Susumu has negotiated contract provisions and drafted, among other things, share purchases, joint ventures, company splits and business transfer agreements. He also has experience advising on antitrust matters before the Japan Fair Trade Commission.

Susumu also advises on project finance in the construction and energy industry, including engineering, procurement, and construction (EPC) matters. His experience includes advising on power plants, nuclear power plants, renewable energy plants, shipbuilding, and infrastructure, and drafting and negotiating EPC contracts, joint development agreements, and consortium agreements with customers/partners in Japan, Asia, the United States, Europe, and Middle Eastern countries. In this space, Susumu leverages his experience as in-house counsel at Mitsubishi Heavy Industries.

Susumu is also routinely tapped by clients to handle disputes, ranging from civil lawsuits to labor disputes to complex commercial disputes, for companies spanning the renewable energy, financial services, and technology sectors, among others. His experience includes negotiating with counterparties, drafting pleading documents, conducting cross-examinations, and assisting in the discovery process.

  • Represented an industrial machinery company in the creation of a joint venture with an Indian company.
  • Represented an engineering company in the acquisition of a machinery manufacturing company.
Project Finance/Construction Industry
  • Advised an EPC (engineering, procurement, and construction) contractor on a renewable energy plant construction project.
  • Advised an EPC contractor on the construction of power plants in Middle East.
  • Advised an EPC contractor on the construction of a process plant in the U.S.
  • Represented a construction company for the takeover of a thermal power business from a construction company.
  • Represented an investment fund in the acquisition of renewable energy plants in Japan.
  • Advised on company splits for commercial ship building business.
  • Advised on several antitrust matters.
Litigation/Disputes
  • Defended a global engineering company in ICC arbitration in the United States in claims exceeding USD 6.6 B.
  • Represented a U.S. client in litigation in Japan regarding a solar power plant.
  • Represented a private equity fund in litigation in connection with an ownership interest against a financial institution.
  • Advised an engineering company on civil lawsuits and an injunction with respect to a nuclear plant.
  • Advised a machinery company in connection with breach of contract claims from a European company.

  • Registered as a candidate for The Japan Commercial Arbitration Association (JCAA) panel arbitrator and mediator, September 2020.
  • Appointed as Committee Member, Subcommittee on Contract & Legal, ENAA, April 2020 (until 2021).
  • Appointed as a judge of The Intercollegiate Negotiation Competition (International Arbitration session), 2019 and 2020.

Credentials

Education

Susumu received his LL.B. from Sophia University in Tokyo, where he went on to earn his J.D., summa cum laude, from the Sophia University Graduate School of Law, and an LL.M. from New York University School of Law. He has earned a certificate from the Legal Training and Research Institute of the Supreme Court of Japan, in Saitama, Japan. He is admitted to the Japan Federal Bar Association and the Dai-ichi Tokyo Bar Association.
