Ross Greenspan focuses his practice on representing private equity sponsors and investors on structuring and executing strategic secondary transactions, including GP-led continuation funds, designed to provide liquidity to both sponsors and investors. In addition to secondary transactions, his experience includes structuring, negotiating, forming and operating private equity and real estate funds, their management companies and co-investment programs.

Ross regularly advises fund sponsors and private fund investors on structuring and executing strategic secondary transactions, including GP-led continuation funds. He also advises clients on the formation, structuring, and operation of private investment vehicles, including co-investment arrangements and related governance matters. He drafts and negotiates key fund and transaction documents such as limited partnership agreements, purchase and sale agreements, side letters, and other ancillary agreements, and provides guidance on securities law compliance and investor disclosure obligations.

Prior to joining Winston & Strawn, Ross was an associate at another international law firm and also served as a judicial extern for the Honorable Timothy A. Barnes of the U.S. Bankruptcy Court for the Northern District of Illinois. He also brings prior industry experience in financial services, where he held leadership roles in compliance, insurance operations, and commodities trading, including serving as an Anti-Money Laundering Compliance Officer.

Ross earned his J.D., summa cum laude, from Chicago-Kent College of Law in 2021, where he ranked 3rd in a class of 229 and was a member of the Law Review and Moot Court Honor Society. He was inducted into the Order of the Coif and received multiple CALI Excellence for the Future Awards. He earned his B.A., magna cum laude, in International Affairs from The George Washington University.
