- Advised Inspired Education, the leading global group of premium schools, in the acquisition of 100% of Eleva Global Educação, a group of 9 premium schools held by Eleva Educação, the biggest basic education company in Brazil. This is the largest transaction in the history of the Brazilian Schools Industry.
- Advised Banco Bradesco in its investment through a PIPE in Zanite (a SPAC) in the context of the business combination between Zanite and Eve, a subsidiary of Embraer S.A. and a leader in the development of Urban Air Mobility. Such deal was shortlisted for “M&A Deal of the Year 2022” by The Latin Lawyer.
- Advised the shareholders of Carta Fabril in the sale of 100% of the shares of Carta Fabril, a leading tissue paper company in Brazil, to Softys, a global tissue paper company, consolidating Softys as the tissue paper leader company in Brazil.
- Advised Copagaz, a leading Liquified Petroleum Gas (LPG) company, in the acquisition of 100% shares of Liquigás, the second biggest Brazilian LPG company, owned by Petrobras (the biggest Brazilian state-owned company) and object of a sale competitive process held by Petrobras. As result of this transaction, Copagaz become the biggest Brazilian LPG Company. Such deal was appointed by the media as one of the three most important 2019 transactions in Brazil.
- Advised Copagaz and its shareholders in the investment of Itaúsa (the holding company of Itaú Unibanco Bank’s shareholders) in Copagaz, by which Itaúsa acquired approximately 49% of Copagaz.
- Advised CCPR, the biggest Brazilian dairy cooperative company, in the sale of 100% of the shares of Itambé Alimentos to Lactalis Group, the biggest dairy group of the world, which after the transaction also become the leader in Brazilian Market. Between signing and closing, a former shareholder of Itambé started litigation (judicial court and arbitration) in order to void the transaction, which was settled by the parties. This dispute was awarded Latin Lawyer’s “Deal of the Year 2019 – Disputes” award.
