Nate Chumley focuses his practice on project finance and other energy finance transactions, with a particular emphasis on renewable energy. He advises lenders on the structuring, negotiation, and execution of offtake arrangements (e.g. power purchase agreement (PPA), renewable energy credit (REC) agreements, hedges, ISDA, EEI agreements), utility interconnection agreements, and project agreements (e.g., engineering, procurement, and construction (EPC), operations and maintenance (O&M), and supply and service agreements) across the solar and energy storage sectors. His work spans offtake agreements and project agreements and how these agreements interact with bridge and construction loans, term loans, collateral and security arrangements, and credit support instruments.

Nate’s background includes serving as senior associate counsel with the New York State Energy Research and Development Authority (NYSERDA), where he focused on offshore wind, bulk energy storage, and the state-as-early-stage developer of solar and battery storage, the Build-Ready program. He drafted and negotiated the NYSERDA Standard Form REC Agreement, as well as agreements for site control, interconnection, and other development-related provisions as part of NYSERDA solicitations and Build-Ready development initiatives. Prior to public service, Nate represented corporate clients in mergers and acquisitions, debt finance, and complex energy regulatory matters, including regulatory proceedings and multi-state transmission initiatives, and energy market proceedings before federal, regional, and state energy authorities.

  • Advised on the offtake and interconnection agreements associated with the bridge, construction, and term loan facilities for a multi-project solar and battery storage portfolio to finance pre-NTP development and interconnection upgrades.
  • Assisted in drafting and negotiating power purchase and renewable energy credit agreements for utility-scale renewable projects, such as the Empire Wind I and Sunrise Wind offshore wind projects, including credit support and guaranty structures, renewable tax provisions, and labor and prevailing wage provisions.
  • Represented buyers and sellers in M&A transactions across the energy and infrastructure sectors, including a portfolio acquisition and environmental, tax, and corporate diligence for large bank and financial services combinations.
  • Counsel to a state-led Build-Ready program on developer-side documentation for utility-scale solar projects, including site control, interconnection, host community benefit, and membership interest purchase agreements, and labor, environmental and EPC solicitation-related provisions, such as for the 12 MW Benson Mines Solar project, one of the largest solar facilities in New York State’s Adirondack Park.
  • Assisted on tax equity diligence and documentation for utility-scale solar portfolios, including review of offtake, interconnection, real property rights, and permitting, and preparation of ancillary agreements.
  • Represented a significant municipal offtaker in negotiation of power purchase agreements and related ancillary documentation for large-scale renewable procurement.
  • Supported comments and transactional structuring related to federal tax credit guidance, including ITC/PTC extensions and adders for domestic content, prevailing wage and apprenticeship, energy communities, and advanced manufacturing.
  • Participated in multi-state offshore wind transmission and supply chain initiatives, including regulatory engagement before FERC, ISO/RTOs, and state agencies on procurement and interconnection issues.

Nate received his B.A. from New York University in 2014. He earned his J.D., from Fordham University in 2020.
