  • Why do plaintiffs bring aiding and abetting claims?
  • Who are the usual targets of aiding and abetting claims?
  • How dangerous are aiding and abetting claims?
  • The implications of the Court of Chancery’s decisions in Rural Metro
  • Are alleged aiders and abettors at greater risk than primary wrongdoers in post-closing deal litigation?
  • If target stockholders have waived their right to seek damages from target directors in a 102(b)(7) provision, why should those stockholders be able to seek damages from alleged aiders and abettors?
