Eva Davis Speaks at 2017 Institute for Corporate Counsel

Winston & Strawn sponsored and Eva Davis, co-chair of the firm’s Private Equity Practice, spoke at the Institute for Corporate Counsel 2017 on December 6 in Los Angeles. The Institute for Corporate Counsel (ICC) is a nonprofit organization that operates in collaboration with USC Gould School of Law and the Los Angeles County Bar Association Corporate Law Departments Section. For more than 35 years, the ICC has brought together in-house and outside counsel for discussions of key legal developments and networking.

Eva, who serves on the ICC Board of Governors, moderated “Spin-Offs and Carve-Outs: Tackling Complex Legal Issues While Slicing and Dicing the Target Company for the Benefit of Buyer and Seller,” a panel that addressed challenges for these transactions, including separating assets not easily divided, tackling intellectual property rights on a go-forward basis, avoiding missteps with contractual assignments, addressing the ongoing relationship between buyer and seller under a transition services agreement, communicating with key stakeholders, and special considerations for cross-border transactions.
