Our Intellectual Property (IP) and Privacy teams work closely together to counsel clients in building, protecting, and commercializing proprietary AI technologies and data; the use of third party or open source AI technologies and data; and the implications that these activities may have under privacy laws.

Building, Protecting, and Commercializing Proprietary AI Technologies and Proprietary Data

Our attorneys:

  • Counsel clients regarding optimal IP strategy for protecting proprietary data and AI technologies
  • Develop data use strategies, such as the implications of using customer data, third-party data, or open source data for AI-related purposes
  • Analyze data rights and draft and negotiate data rights agreements to ensure clients have appropriate rights to use data to train proprietary AI technologies.
  • Analyze and draft agreements to ensure the client owns the AI technologies it purports to own 
  • Draft and negotiate agreements regarding third party use of client-owned AI technologies
  • Develop, negotiate, and execute major contracts that implicate the use, sharing, disclosure, and safeguarding of personal information.
Use of Third Party or Open Source AI Technologies or Data

Our attorneys:

  • Conduct diligence on third party AI tools and associated risks
  • Vet and deploy AI technologies, including guidance on data collection and algorithm training
  • Draft and negotiate agreements with vendors who wish to use client data to train the vendor’s AI technologies
  • Draft and negotiate agreements with vendors regarding client use of vendor AI technologies
  • Draft policies regarding proper use of third party AI tools by client employees
  • Develop, negotiate, and execute major contracts that implicate the use, sharing, disclosure, and safeguarding of personal information

We also counsel our clients regarding compliance with various domestic and foreign regulations (e.g., AI regulations, data security regulations, and health care privacy laws such as HIPAA) in conjunction with the use of AI, assist our clients in corporate transactions involving AI technologies, and we work closely with our litigators to provide clients with holistic advice and representation.
