On November 27, 2012, in a significant decision for those engaged in competitive acquisitions, the Delaware Court of Chancery enjoined a standstill provision in a confidentiality agreement
that would prohibit a potential bidder from privately asking a public company target, which had signed a merger agreement with another bidder, to waive provisions of a confidentiality agreement that limited the potential bidder’s ability to communicate with the target.

On October 9, the federal banking agencies announced adoption of final rules implementing a requirement in the Dodd-Frank Act that banking organizations, including savings and loan holding companies, with total consolidated assets of more than $10 billion but less than $50 billion, conduct annual stress tests, report the results to their principle federal regulator and the Federal Reserve Board, and publish a summary of the results.

On May 8, 2012, the U.S. Court of Appeals for the Seventh Circuit held that steelworkers employed by the United States Steel Corporation were not entitled to compensation for time spent in putting on or taking off their work clothes or for time spent walking between their locker room and work stations under the Fair Labor Standards Act. On June 16, 2011, the National Labor Relations Board invited interested amici to file briefs addressing whether a company violated Section 8(a)(1) of the National Labor Relations Act by requiring its employees, as a condition of employment, to sign a mutual arbitration agreement in which the employee agrees to submit all employment disputes to individual arbitration and provides that the arbitrator will have no authority to consolidate claims or fashion a proceeding as a class or collective action.
