Winston & Strawn's extensive real estate capital markets practice focuses on the representation of financial institutions in a full range of lending products, including traditional finance transactions (permanent, construction, and leasehold financings); transactions structured for securitization (bridge, conduit, mezzanine, and large loans); and transactions for which we act as issuer or underwriter’s counsel in the securitization process. We represent clients in the sale and purchase of “one-off” loans as well as pooled mortgage loan portfolios.
Our real estate attorneys also have considerable experience with credit facilities and financial transactions with complex terms, including multiple interest rate options; foreign currency exchanges; interest rate protection products such as “swaps,” “caps,” and “collars”; and the syndication of interests in loans by lead lenders and agent banks.
In addition, we regularly represent clients in sophisticated lease financing transactions involving office, retail, industrial, and publicly owned projects across the country.
Winston's finance practice includes leveraged leases of commercial real estate, facilities, and projects. Many of these deals have involved office buildings, corporate headquarters complexes, retail shopping centers, and hotels, while others have included more traditional facility leveraged leasing, such as integrated manufacturing facilities. Our real estate practice has included the use of several innovative structures, such as bifurcating the ownership of land; using partnerships, installment sales, and like-kind exchanges; and providing real estate management companies with interests in the lessee. |
