Laura Luo is a partner of the firm based in Shanghai. Ms. Luo is a corporate attorney focusing on corporate financing, mergers & acquisitions, foreign direct investment and PRC outbound investment, capital market transactions, U.S. securities compliance and corporate governance matters, and U.S. FCPA (Foreign Corrupt Practices Act) investigation, training, and compliance matters.

Ms. Luo has extensive experience representing public and private companies, underwriters, and private equity and venture capital funds in capital markets and going private transactions, mergers and acquisitions, equity and debt financings, corporate restructurings, asset purchases and sales, as well as Sino-foreign joint venture formation and investment.

Ms. Luo has represented Chinese enterprises and international parties in numerous cross-border transactions. She also regularly serves as outside corporate counsel for U.S.-listed companies based in China in their U.S. securities compliance, corporate governance and FCPA investigation and compliance matters. Ms. Luo has represented clients in a broad range of industries such as pharmaceuticals, education, information technology, semiconductor, software, clean energy, insurance, agriculture, automobile, clothing, and other consumer products.        

Prior to joining the firm, Ms. Luo worked in international firms in California, New York, and Shanghai.

Before attending law school, Ms. Luo worked as both a marketing analyst and a financial analyst at the former Westinghouse Electric Corporation. For her contributions, she was awarded the Westinghouse Power Generation Total Quality Award.

Ms. Luo is a native of China and educated in both China and the U.S., where she worked and lived for 17 years before returning to China. Her extensive experience and deep understanding of Chinese and Western cultures enable her to service her clients in cross-border transactions very effectively.


Activities

Ms. Luo is a member of the New York State Bar Association, the California State Bar Association, and the New Jersey State Bar Association.


Education

Ms. Luo received a B.E. in Industrial Foreign Trade from Shanghai Jiao Tong University, China and an M.B.A. in Finance & Accounting from Rollins College in Florida. She received her J.D. from Vanderbilt University Law School in the United States.
