Winston & Strawn advised Diamond Management & Technology Consultants, Inc., a strategic management consulting firm, in its merger agreement with PricewaterhouseCoopers LLP (PwC). PwC will acquire all of Diamond Management's outstanding common shares for $378 million, a 31% premium to Diamond's closing stock price on August 23, 2010.
Winston & Strawn corporate partners Lee Hutchinson and Brian Schafer, with associates Erin Stone, Christina Trotta and Greg Hawver, served as legal counsel for Diamond. Steve Worth, general counsel of Diamond, was the internal legal counsel.
The transaction is expected to close in the fourth quarter of 2010 and is subject to customary closing conditions. |
