Mark Jacobsen is an associate in Winston & Strawn’s Hong Kong office. Mr. Jacobsen has a broad base of experience in Asia, concentrating his practice in mergers and acquisitions, securities and corporate governance matters, fund formation, Asia-focused foreign direct investment and commercial matters, and anti-bribery/corruption laws.

Mr. Jacobsen’s recent matters include

Securities Laws

  • Advising on ‘going private’/’going dark’ transactions.
  • Advising various reporting companies on 34 Act compliance issues, including SOX implementation.
  • Advising various funds on securities laws in the P.R.C. in relation to fund-raising exercises.

Equity Finance

  • Advising on H.K. and U.S. IPOs, including S-1 and A-1 filings.
  • Assisting in S-3 shelf-registrations and PIPE transactions.

Mergers and Acquisitions

  • Assisting in corporate combinations in the U.S. and the P.R.C., including cross-border transactions and those involving highly regulated industries.
  • Advising on acquisitions of state-owned enterprises in the P.R.C.

Corporate Structuring and Commercial Advice

  • Assisting various companies with structuring and investment in the P.R.C., including the use of nominee structures, whole-owned subsidiaries and joint venture vehicles.
  • Assisting foreign companies in structuring issues for highly regulated industries such as pharmaceutical sales and insurance.
  • Advising foreign companies on employee issues in the P.R.C., including labor laws and retention plans.
  • Advising major U.S. insurance company on regulatory issues related to calculation of its float.
  • Advising a major Hong Kong based garment manufacturer on international labor and human right issues and management of a related media crisis.
  • Advising on issues related to data privacy in the P.R.C., in the context of insurance providers and marketing.
  • Advising on and lectured on anti-bribery/anti-corruption laws in Asia.

Prior to joining Winston, Mr. Jacobsen worked as an associate in the Hong Kong, Beijing, New York, and San Francisco offices of major international law firms, and has worked at the U.S. Securities and Exchange Commission’s Division of Corporation Finance, the Chambers of the International Criminal Tribunal for the former Yugoslavia and the U.S. Department of Justice’s Civil Division.


Activities

Mr. Jacobsen is the Company Secretary to The Mekong Club, a Hong Kong based non-profit charity that works to fight the business of human slavery.


Education

Mr. Jacobsen received a B.A. in Political Science and in Philosophy from Purdue University, USA, in 1998 and a J.D. from Stanford Law School, USA, in 2004. Mr. Jacobsen has also studied at Peking University and Beijing Culture and Language University.
