Ray Koloski is a partner in Winston & Strawn’s finance practice group who focuses on the representation of banks and other financial institutions in structuring and negotiating debt capital markets transactions.

Mr. Koloski serves as counsel to lead arrangers in leveraged and investment grade syndicated credit facilities, including first lien/second lien, first lien/mezzanine debt, and asset-based transactions; financings for acquisitions and sponsor-related leveraged buyouts; and cross-border and multicurrency facilities.

Mr. Koloski also represents clients in debt restructuring and structured finance transactions, the aggregation and warehousing of assets in CDO/CLO transactions, and par/near par and distressed debt purchase and sale transactions.

Recent transactions follow:

  • Represented the lead arranger in a $205 million secured credit facility in connection with the acquisition by a financial sponsor of an American Fisheries Act-governed fish catching and processing company.
  • Represented the lead arranger in a $300 million secured credit facility for a defense contractor in connection with an acquisition.
  • Represented the lead arranger in a $335 million first lien/second lien credit facility for a national insurance brokerage firm in connection with an acquisition.
  • Represented the lead arranger in a $400 million secured credit facility for a major not-for-profit hospital system.
  • Represented the lead arranger in a $100 million secured credit facility for a pharmaceutical company in connection with the acquisition of a product line.
  • Represented the lead arranger in an $800 million credit facility for a global investment manager.
  • Represented the lead arranger in $3.6 billion in credit facilities for a public utility.
  • Represented the lead arranger in $145 million first lien/second lien credit facility in connection with the acquisition by a financial sponsor of an insurance brokerage firm.
  • Represented the lead arranger in a $600 million credit facility for an international accounting firm.


Education

Mr. Koloski received a B.A. in International Relations from Tulane University in 1986 and a J.D. from Case Western Reserve University in 1994.
