David Hertzog is of counsel in the firm’s New York office who counsels clients on a wide range of corporate matters, including financial transactions, securities, mergers and acquisitions, and private equity. He also has significant experience in securities and accounting-related investigatory matters.
Mr. Hertzog’s extensive financial and accounting background helps him provide top-rate legal advice to his clients. Before re-joining Winston & Strawn in 2009, he was a corporate attorney at other large firms. In addition, he worked as a private equity firm consultant and held several other financial advisory positions in the private sector, in which he advised on acquisitions, financings, financial reporting, and operational matters.
Specifically, he currently serves as a director of Philadelphia Media Network, Inc. (formerly Philly News) and is chairman of its Audit Committee. Mr. Hertzog was vice president and served as general counsel to Allegheny Energy, Inc., a NYSE-listed utility company, in 2003 and 2004. Mr. Hertzog was a founder and name partner of Hertzog, Calamari & Gleason, which Winston & Strawn absorbed in 1999.
Activities
Mr. Hertzog is a member of the American Bar Association’s Section on Corporation, Banking, and Business Law and Section on Natural Resources. He is also a member of the Association of the Bar of the City of New York. In addition, he is a director of the New York Regional Board of the Anti-Defamation League.
Education
Mr. Hertzog received a B.S. in Accounting from the Wharton School of the University of Pennsylvania in 1966 and a J.D., cum laude, from New York University School of Law in 1969.
