Tom Fitzgerald is managing partner of Winston & Strawn and practices exclusively in the taxation area. He assists clients with tax issues related to acquisitions, divestitures, mergers, and reorganizations as well as tax controversy matters.

Mr. Fitzgerald has substantial experience advising both publicly and privately held corporations on tax issues regarding acquisitions, divestitures, mergers, and reorganizations involving more than $7 billion of purchase price and the restructuring of debt in excess of $4 billion.

Mr. Fitzgerald also has successfully represented numerous clients before the Internal Revenue Service on a variety of matters, including corporate reorganizations, intangible valuation, true lease, foreign tax credit, and accounting issues. He has successfully litigated cases in both the U.S. Tax Court and the U.S. Court of Appeals.


Activities

Mr. Fitzgerald is managing partner of Winston & Strawn, and is a member of the firm’s executive committee and former chairman of the compensation committee. He serves on the board of directors for Leaders Bank in Oak Brook, Ill. and is a member of the Notre Dame Law School Alumni board of directors. He also is a member of the planning committee of the University of Chicago Annual Tax Conference.


Education

Mr. Fitzgerald received an undergraduate degree from the University of Notre Dame in 1976 and received a J.D. from Notre Dame Law School, with honors, in 1979. He is also a certified public accountant.
