Katie McAvoy Gillespie is a corporate partner concentrating her practice in finance transactions, tax credit transactions, and merger and acquisition transactions, in each case, primarily in the renewable energy sector. Ms. Gillespie also has extensive experience in leasing transactions.

Ms. Gillespie has represented numerous developers, equity investors, lessors, and lessees in financing, acquisition, and leasing matters involving specialized facilities and equipment. Her tax credit transaction experience includes structuring, acquiring, and divesting interests in tax credit partnerships primarily relating to alternative energy credits.

Recent Transactions

In 2008 and 2009, Ms. Gillespie represented a large renewable energy developer in connection with tax equity and other equity financing for its three project portfolio of wind farms consisting of in excess of 350 megawatts of renewable energy generation assets. This transaction involved multiple tranches of investors, multiple energy offtakers, energy hedges, and construction debt.

Ms. Gillespie also represented a major wind developer in connection with the 2009 equity fundings for two wind farm projects totally in excess of 250 megawatts. Both transactions also involved project-level debt financing.

In addition, she represented a large financial services company with respect to its equity investment in a fund that financed more than 20 megawatts of photovoltaic solar facilities at 45 different locations in six states.

Finally, Ms. Gillespie represented NTR plc, a leading international developer and operator in renewable energy and sustainable waste management, in connection with its reentry into the U.S. renewable energy market through its investment of $150 million in Wind Capital Group, a leading wind energy developer in the Midwest region of the United States.


Activities

Ms. Gillespie serves as the chair of the Chicago office’s Summer Associate Committee. She also served for three years, until 2008, as the vice president of corporate funding for the Northwestern Memorial Hospital Auxiliary Board.


Education

Ms. Gillespie received a B.A. in Political Science in 1993 from the University of Illinois at Urbana-Champaign and a J.D., magna cum laude, in 1998 from Notre Dame Law School, where she was a member of the Notre Dame Law Review.

Ms. Gillespie is a frequent speaker on renewable energy topics. She recently moderated the following panel discussions:
