Robert Ericson is a partner in the firm’s New York office and co-chair of the firm’s mergers and acquisitions/securities/corporate governance practice. He has had extensive experience in corporate finance, securities, and merger and acquisition transactions over his 32-year career with the firm in both Chicago and New York.

Mr. Ericson has represented companies, equity sponsors, underwriters, and banks engaged in acquisition finance, securities issuance, and merger and acquisition transactions in both the private and public markets. This includes the representation of senior debt and high-yield bond groups, special committees of boards of directors, and fund managers on strategic and structuring issues. His experience includes representation of issuers or underwriters in over 100 registered or 144A offerings of debt and equity securities. In the acquisition area, his experience ranges from structuring highly leveraged transactions to advising companies and boards of their fiduciary duties on change of control transactions, as well as assuming responsibility for the execution of these transactions.


Honors and Awards

Mr. Ericson represented Stellex Aerostructures in its sale by the Carlyle Group to U.K.-based GKN. The transaction was named "Turnaround of the Year" in 2007 by Private Equity Hub (peHUB.com).


Activities

Mr. Ericson served on the firm’s executive committee from 1989 to 2003, and was managing partner of the New York office from 1989 to 1998.  He is currently head of the Sarbanes-Oxley Committee and co-head of the Securities and Mergers and Acquisitions Group in the corporate department.  He also is a member of the firm's Corporate Opinion Committee.


Education

Mr. Ericson received a B.A. in 1970 from Johns Hopkins University, an M.A. in 1971 from Johns Hopkins University School of Advanced International Studies, and a J.D. in 1976 from the University of Virginia.
