Charles B. Boehrer

Chuck Boehrer is a partner in Winston & Strawn’s corporate finance group. He concentrates his practice in the representation of borrowers and leading commercial and investment banks in leveraged finance transactions.

His extensive experience includes acting as lead bank counsel, as well as borrower’s counsel, for the structuring of credit facilities, including complex international lending transactions, acquisition and going-private transactions, refinancings and repricings, and restructuring and workout transactions. Mr. Boehrer has represented lenders and borrowers in a variety of credit structures, including second lien and subordinated credits.

He has represented leading financial institutions such as BMO Harris Financial, Deutsche Bank, Bank of America, American Capital Strategies, and Fifth Third Bank, as well as borrowers such as Motorola, Lear Corporation, Bucyrus International, Nuveen Investments, Hub International, X-Rite Incorporated, and World Kitchen. His ability to counsel clients in structuring and implementing financial arrangements is enhanced by his prior experience representing clients in merger, acquisition, and securities transactions and by his ongoing work as outside corporate counsel to several corporations.

Mr. Boehrer received a B.B.A. from the University of Wisconsin in 1982 and a J.D. from the University of Michigan Law School in 1985, where he was a member of the Law Review.

Honors & Awards

Mr. Boehrer was selected by his peers for inclusion in the 2011 and 2012 Best Lawyers and in the 2015 Best Lawyers in America editions in the practice area of Banking and Finance Law. He was also recognized in Chambers Global: The World’s Leading Lawyers, and has been named an Illinois Super Lawyer since 2007.

Mr. Boehrer's extensive experience includes acting as bank counsel for the structuring of senior and senior second lien credit facilities, including leveraged and investment grade transactions, complex international lending transactions, acquisition and going-private transactions, refinancing and repricings, as well as restructuring and workout transactions.

In the last year, he has represented leading financial institutions and borrowers on over $10 billion of senior debt, including Deutsche Bank on the $1.3 billion credit facility to Huntsman International; Harley-Davidson Financial Services, Inc. in connection with its $1.1 billion credit facility; Bank of America on the $600 million credit facility for IDEX Corporation; and Lear Corporation in connection with its $1.7 billion senior credit facility.
