A webinar titled “The Use of Special Committees in M&A Transactions” was presented on October 27 as part of The Real Deal webinar series, which address current trends, challenges, and legal topics pertinent to M&A and securities professionals.
The extremely active M&A market is currently experiencing a relatively large number of going-private and related-party transactions. This trend provides an opportunity to examine the use, role, and conduct of special board committees in M&A transactions, particularly in light of the recent In re Dole Food Co. Stockholder Litigation case.
The interactive webinar focused on timely issues related to the use of special committees in M&A transactions. Topics discussed include:
